Irene V. Nicolaou

Irene specializes in the full spectrum of banking, finance & capital markets law and corporate & commercial, mergers & acquisitions and is also active in the real estate and energy sectors. She has significant involvement in various transactions in the relevant fields of law with particular experience in international transactions.

She regularly works on transactions related to the acquisition and management of loans such as securitizations, tender offer matters, IPOs, public offers and financing transactions (including project finance). She also has extensive experience on regulatory matters related to the operation in Greece of payment institutions, e-money institutions, companies managing loans, fund managers, investment firms and credit institutions. Irene also provides ongoing advice to listed and non- listed companies with focus on corporate governance and compliance issues. Irene has extensive experience in mergers and acquisitions including transactions related to listed companies and privatizations and has acted both for the seller and the buyer in a number of relevant transactions. She is very experienced in private international law matters arising in case of cross border transactions.

Handled transactions include, advising various foreign funds in the acquisition from Greek systemic banks and through secondary sales of portfolios of loans,  advising Greek systemic banks in transactions related to sales and securitisations of loans including advising a Greek systemic bank and one of the major Greek loan servicers in a retained securitisation transaction estimated to be ranging from EUR7bn to EUR8bn, advising a major listed Greek company active in the gambling industry in relation to the sale of one of its subsidiaries, advising a Greek systemic bank in relation to the sale of its subsidiary providing real estate services, advising the Hellenic Republic Asset Development Fund S.A. in numerous privatizations, advising foreign funds in the set up and operation of Greek real estate companies intending to acquire real estate assets in Greece amicably and through auctions, advising and acting on behalf of an international syndicate in the financing of the concessionaire which has been awarded the design, construction, operation, maintenance and exploitation of a highway in Greece, advising a foreign fund on the re-financing of a securitization for the acquisition of a portfolio of loans from a Greek credit institution for a total financing of c. EUR200,000,000, advising a Greek listed company in relation to the prospective issuance of a Eurobond and advising the first AIFM to be licensed as an investment management company.

Before becoming a partner of Kerameus & Partners, she was working for several years in various prominent Athens law firms.

Irene served as a part-time lecturer of comparative property law and comparative inheritance law at King’s College London and as an adjunct lecturer of “English Contract Law” at the international program of the University of London in Athens, Greece.

She also regularly publishes in her fields of expertise and has also acted as a speaker at national conferences.

Indicative writings and presentations at conferences include:

  • EU Succession Regulation 650/2012, A commentary, Pamboukis (ed), Nomiki Vivliothiki, 2016 (commentary on articles 31-33). The book was also translated in English in 2017 and was published by Ch.Beck, Hart, Nomos.
  • Paper presented at the second conference of Economic Analysis of Law (Athens) organized by Professor Aristeidis Hatzis. Subject of presentation “Unforeseen Contingencies and the Economic Analysis of Law”.
  • Gift: A Comparative Analysis, paper published at European and Cypriot law review (Επιθεώρηση Ευρωπαϊκού και Κυπριακού δικαίου) (2013).
