He mainly concentrates in the areas of commercial and corporate law, mergers, acquisitions, joint ventures and privatizations, representing domestic and foreign entities in the negotiation of business transactions. Handled transactions include, inter alia,
- representation of a foreign private equity fund in its acquisition of a real estate property owned by the Hellenic Republic Asset Development Fund S.A.
- representation of the Greek government in a divestiture of a state controlled entity,
- representation of a foreign investment fund in the acquisition of a foreign company in connection with the termination of a credit facility of the acquired company,
- representation of a foreign company in the aquaculture industry in the acquisition of a Greek company,
- representation of a Greek insurance company in its acquisition of the Greek operations of an insurance multinational,
- representation of a multinational company in the security services industry in the acquisition of a Greek company,
- representation of a shipping company in a joint venture with foreign funds, representation of a French shipping company in FFA trading related matters with a Greece-based shipping company,
- representation of a Greek company in its participation in a hydroelectric power plant project,
- representation of a Greek company in the issuance of a convertible bond.
Prior to joining Kerameus & Partners, Mr. Kerameus practiced for a number of years in the business department of a major New York law firm. During his practice there, Mr. Kerameus represented public and privately held companies in mergers, acquisitions, dispositions, joint ventures and debt issuances. He advised public companies on compliance with the US securities laws and represented them in their filings with the U.S. Securities and Exchange Commission. Prior to joining Kerameus & Partners, Mr. Kerameus also worked for a major shipping company as legal and business counsel.
Mr. Kerameus is a graduate of:
- the Ludwig-Maximilians-University School of Law in Munich, Germany (basic law degree (Erstes Staatsexamen) – focus on commercial and corporate law); and
- the New York University School of Law, in New York (LL.M. degree – focus on corporate law, antitrust, admiralty, international arbitration).
He is fluent in Greek (native), English, German and French.
